Abstract:
تزايد الاهتمام بمفهوم حوكمة المؤسسات في العديد من الاقتصاديات المتقدمة و الناشئة خلال العقود القليلة الماضية وخاصة
في أعقاب الايارات الاقتصادية و الأزمات المالية التي شهدا عـدد مـن دول العالم، و التي مست العديد من أسواق المال العالمية
كأزمة جنوب شرق آسيا عـام 1997 ،إضـافة إلـى ايار بعض كبريات الشركات العالمية خصوصا الشـركات الأمريكيـة،
نتيجة اسـتخدامها لطـرق محاسـبية معقدة، بغية إخفاء خسائرها والتلاعب بحقوق أصحاب المصـالح كالمسـاهمين، الـدائنين،
الموردي ن و حتـى اتمع المدني. من الأمور المسلم ا في جميع الدول بأنه و في حالة حدوث خلل في مهنتي المحاسبة و التدقيق فـإن
انعكاس ذلك يكون في أغلب الأحيان كارثيا كما حصل في مطلع عام 2002 عندما اارت بعض الشركات العالمية في بعض الدول
المتقدمة نتيجة خلل كبير أطاح ببعض الشركات المتخصصة بمهنة المحاسبة و التدقيق مثل "أرثر اندرسون للاستشارات المالية" والذي
أدى إلى إعادة هيكلة الحوكمة والتي لا تزال الإصلاحات ا مستمرة إلى يومنا هذا.
Interest in the concept of corporate governance has increased in many advanced and emerging
economies over the past few decades، especially in the wake of the economic collapse and
financial crises witnessed by a number of countries in the world، which affected many global
financial markets such as the crisis of Southeast Asia in 1997، in addition to the collapse of some
major international companies، especially American companies، as a result of using complicated
accounting methods to hide their losses and manipulate the rights of stakeholders suche as
shareholders، creditors، suppliers and even civil society. It is recognized in all countries that in the
event of a breach in the accounting and auditing profession، the reversal of that would be most
likely to be catastrophic،as happened in the beginning of 2002 when some international companies
collapsed in some developed countries as a result of a major disruption thet toppled some
specialized accounting and auditing companies، such as Arthur Andersen Financial Consulting،
which led to the restructuring of governance، in which reforms are still ongoing to this day.
